Terms of Service
These terms apply when you visit keyandkit.com (or any temporary address of our site), join our email list, or buy from Key & Kit.
Who we are
Key & Kit is a trade name of Theodore Osborne, a sole proprietor based in Ohio, USA ("Key & Kit", "we", "us", "our"). You can reach us at Theoosborne614@gmail.com.
Agreement
By using our site or buying or downloading our products, you agree to these terms, our Privacy Policy, our Refund Policy and our License. If you don't agree, please don't use the site or buy our products. You must be at least 18, or the age of majority where you live, to make a purchase.
Our store platform: Payhip
We sell through Payhip, an online store platform. Payhip runs our checkout, delivers your files (by download link on the order page and by email), and hosts member accounts for Key & Kit Pro. Payments are processed by Stripe and PayPal. Memberships are billed by card through Stripe; PayPal is available for one-time purchases only. We never see or store your full card number. Payhip, PayPal and Stripe have their own terms and privacy policies, which also apply when you use their services.
Digital products and prices
All products are digital downloads (DOCX, XLSX and PDF files). Nothing is shipped. Prices are in US dollars; any sales tax or VAT is calculated at checkout. We may change prices at any time, but changes don't affect orders already placed. Product descriptions and previews show what each file contains; if something doesn't match, see our Refund Policy.
Key & Kit Pro membership
- Key & Kit Pro is a subscription billed monthly or yearly. It renews automatically at the end of each billing period until you cancel.
- New members get a 7-day free trial. If you don't cancel before the trial ends, your first payment is charged automatically on the plan you chose.
- You can cancel anytime from your Payhip customer account (Settings → Subscriptions). Cancelling stops future charges. Access to the member area ends immediately when you cancel, and unused time in the current period isn't prorated or refunded, so if you're stopping, cancel shortly before your renewal date.
- Files you downloaded while you were a member stay licensed to you under our License after you cancel. New drops and updates stop.
- You can switch between plans (for example Solo to Team, or monthly to yearly) by cancelling and starting the new plan; changes aren't prorated.
- If a renewal payment fails, Payhip emails you and retries for up to 20 days. If it still fails, the subscription is cancelled and access ends.
- Your price stays the same for as long as your subscription stays active. If we change membership prices, the new prices apply to new subscriptions.
- Founding members: the first 50 subscribers keep their launch price for as long as their subscription stays continuously active. This is a price lock, not a discount; it ends if the subscription is cancelled or lapses (including after failed payments), and re-subscribing is at the then-current price.
- Membership content (number and type of monthly templates and tools) may change over time. We will not reduce what you've already downloaded.
Your license to use our products
Every purchase and membership comes with a limited license described on our License page. You may use the templates for your own properties and a limited number of client properties, but you may not resell or redistribute the templates themselves.
Intellectual property
The templates, designs, text, spreadsheets, graphics and site content are owned by Key & Kit and protected by copyright. Buying a product gives you a license to use it, not ownership of the template. Names like Airbnb, Vrbo and Booking.com belong to their owners; we use them only to describe compatibility, and we are not affiliated with them.
Acceptable use
- Don't share your member login or let others use your account.
- Don't copy, scrape or bulk-download the site or member area, or try to get around access controls.
- Don't use the site for anything unlawful, or to send spam or malicious code.
No professional advice
Our templates, spreadsheets, calculators, scripts and articles are organizational tools and general information. They are not legal, tax, accounting, insurance or financial advice. Short-term rental rules, taxes and platform policies vary by location and change often; check with a qualified professional and your local authority before relying on them. Calculator and tracker results are estimates that depend on the numbers you enter.
Third-party links and affiliate links
Our site and files link to other websites and software we don't control. Some links are affiliate links; see our Affiliate Disclosure. We aren't responsible for third-party sites, products or services.
Disclaimer of warranties
Except as stated in our Refund Policy, the site and products are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent allowed by law. We don't guarantee any particular result, such as bookings, reviews, income or tax outcomes.
Limitation of liability
To the fullest extent allowed by law, Key & Kit and Theodore Osborne will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bookings or data, arising from your use of the site or products. Our total liability for any claim relating to the site or products is limited to the amount you paid us for the product or membership involved in the 12 months before the claim. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
Indemnity
If you use our products or site in breach of these terms or the License, or in violation of law or a third party's rights, you agree to cover the reasonable costs and losses Key & Kit incurs as a result, including reasonable attorneys' fees.
Governing law and disputes
These terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law rules. Any dispute that isn't resolved informally will be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you and we consent to that venue. Either of us may bring an individual claim in small claims court instead. Before filing any claim, please email us so we can try to resolve it; most problems can be fixed quickly.
Changes to these terms
We may update these terms. The "Last updated" date at the top shows when. Changes apply to purchases and use after that date; they don't change the terms of a purchase you already made.
